These terms govern any engagement with Assistly for AI system setup and retainer services. By booking a discovery call and proceeding with a paid engagement, you agree to the terms below.

1. What we provide

Assistly designs, builds, and manages AI assistant systems for your business, delivered across four phases: Discovery & Audit, Architecture, Build & Deploy, and Retainer & Optimization. The specific scope — number of assistants, integrations, and support level — depends on the tier (Starter, Growth, or Custom) agreed during your discovery call.

2. Fees and payment

Each engagement has a one-time setup fee and an ongoing monthly retainer, both agreed in writing before work begins.
The setup fee is split 50% upfront to begin work, 50% on delivery/handoff.
The retainer is billed monthly, with the first payment due at handoff — not before the system is live.
All prices are quoted in Naira (₦) unless otherwise agreed.

3. Retainer commitment and cancellation

Retainers run on an initial 3-month minimum commitment, giving the system a fair window to prove its value. After that period, the retainer becomes month-to-month, cancellable with 30 days' written notice. If you cancel, your system stays functional exactly as last configured — we don't disable or degrade it — but it stops receiving active monitoring, optimization, and support from that point forward.

4. Your responsibilities

Timely delivery depends on you providing the access and information we need — for example, admin access to relevant tools, sample conversations, and availability for a short onboarding call. Delays on your end may extend the delivery timeline accordingly.

5. What we don't guarantee

We guarantee that the system we build functions as scoped and agreed. We do not guarantee specific business outcomes — revenue increases, conversion rates, or lead volume — since those depend on factors outside the system itself, including your market, pricing, and how your team uses the tool. We also don't build custom standalone software or manage non-AI tools already in place; those fall outside our scope.

6. Ownership

The specific AI assistant configuration, workflows, and automations built for your business belong to you once fully paid for. Assistly retains ownership of its own general methodologies, frameworks, and non-client-specific templates used to deliver the work — these aren't exclusive to any one client engagement.

7. Data and access

Any access granted to us during setup (to your WhatsApp, email, CRM, or similar tools) is used solely to build and maintain your system, and can be revoked by you at any time. See our Privacy Policy for more on how information is handled.

8. Limitation of liability

Assistly's liability for any claim arising from an engagement is limited to the fees paid for that engagement in the preceding three months. We're not liable for indirect losses, including lost profits or lost business opportunities.

9. Governing law

These terms are governed by the laws of the Federal Republic of Nigeria.

10. Changes to these terms

We may update these terms from time to time; the date at the top reflects the most recent revision. Material changes affecting active clients will be communicated directly.
